2. Our Services

BionomeeX provides advanced bioinformatics, AI-powered analysis, and computational tools to support research in biology, health, and environmental sciences.

Our main solutions include:

● Luxiol – AI-assisted image analysis for microscopy and cellular imaging

● Ultim – high-performance pipelines for data integration and multi-omics interpretation

● GWAS 2D – multidimensional genomic association analysis using interaction mapping

● HiXloop – chromatin interaction and spatial genomics analysis with Human-in-the-Loop refinement

We may update, improve, expand, or discontinue certain services as part of our technology roadmap.
Any confirmed or ongoing project will continue under the terms defined in the applicable quotation or service agreement.

3. Sales and Commercial Process

● BionomeeX does not offer direct online purchasing.

● All commercial interactions (pricing, deliverables, timelines) are handled directly through our team.

● A formal quotation or service agreement specifies the scope of work, price, and payment conditions.

● Acceptance of a quotation constitutes a binding contract governed by these Terms.

● Payments must be made according to the schedule and conditions set in the invoice or contract.

● Late payments may incur penalties as permitted by applicable French law.

4. User Obligations

By working with us, you agree to:

● Provide complete, accurate, and truthful information during any request or collaboration,

● Use our deliverables exclusively for lawful, ethical, and research-related purposes,

● Refrain from attempting to copy, extract, reverse-engineer, or otherwise interfere with any proprietary software, algorithms, models, or pipelines developed by BionomeeX,

● Comply with any contractual use restrictions communicated in writing.

5. Intellectual Property

All components developed, designed, or used by BionomeeX—including software, algorithms, analysis models, documentation, and research pipelines are the exclusive intellectual property of BionomeeX SAS or its licensors.

Clients receive a non-exclusive, non-transferable, limited right of use over the deliverables (reports, predictions, models, analytical outputs) for their internal research purposes only, unless otherwise agreed in writing.

You may not reproduce, distribute, commercialize, sublicense, or integrate our proprietary technologies into external products without prior written authorization.

6. Confidentiality and Data Protection

● All client data, biological data, research materials, or project outputs shared with us are treated as strictly confidential.

● The client retains full ownership of their data.

● We do not disclose, sell, or share client data or results with third parties, except:

● with explicit client consent,

● with trusted subcontractors under strict confidentiality and GDPR-compliant obligations,

● or where required by law.

Processing of personal data is governed by our Privacy Policy

7. Disclaimers

Our services and deliverables are provided “as is” within the standards of scientific research and computational analysis.
While our tools rely on validated methods and advanced algorithms, all scientific and predictive analyses carry inherent uncertainties.

BionomeeX does not guarantee that:

● results will be error-free,

● analyses will meet a specific scientific outcome,

● deliverables will be suitable for diagnostic, clinical, or regulatory use (unless explicitly stated).

Any decisions or interpretations based on our deliverables are the sole responsibility of the client

8. Limitation of Liability

To the fullest extent permitted by law, BionomeeX shall not be liable for:

● indirect, incidental, special, or consequential damages,

● loss of profits, business, opportunity, or data,

● third-party claims related to your use of our deliverables.

Our total liability for any claim is limited to the amount paid by the client for the specific service concerned.

9. Termination

Each collaboration or project follows the termination conditions detailed in the applicable contract.
Upon termination:

● the client must cease any use of deliverables beyond the rights granted,

● confidentiality obligations remain in effect,

● outstanding invoices remain payable.

10. Governing Law

These Terms are governed by the laws of France.
Any dispute arising from or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Montpellier, France.

11. Updates to These Terms

We may revise these Terms periodically.
The latest version will always be accessible on our website.
Your continued use of our website or services after updates constitutes acceptance of the revised Terms.
